GENERAL TERMS AND CONDITIONS

SCOPE AND PURPOSE
These General Terms and Conditions (“Terms”) govern the use of www.varnalux.com (“Website”) and all purchases made from Varnalux (Dutchblue.com Ltd) and apply to both consumers (B2C) and business customers (B2B) within the European Union. By placing an order, you confirm that you have read, understood, and agreed to these Terms. If you are a consumer, the mandatory consumer protection rules of your country of residence also apply in addition to these Terms.
PRIVACY AND EXCLUSION OF RESPONSIBILITY
We process personal data as a data controller in compliance with the General Data Protection Regulation (EU 2016/679) and the Bulgarian Personal Data Protection Act. Your data is used solely to: (I) process and deliver your order; (II) manage your customer account; (III) handle invoicing, payments, customer support, and fraud prevention; and (IV) comply with legal obligations. We share data only with trusted service providers (e.g., couriers, payment processors) under appropriate data-processing agreements.
You have the right to access, rectify, erase, restrict, or object to processing, request data portability, and lodge a complaint with the Commission for Personal Data Protection (Bulgaria) or your local authority. You can contact us at [email protected].
CONTRACT FORMATION
Product listings are invitations to treat and not binding offers. A purchase contract is concluded once we send you an order confirmation by email. We may refuse or cancel an order in case of stock issues, pricing errors, legal or regulatory restrictions, or suspected misuse/fraud. Electronic communications (orders, confirmations, invoices) are legally valid under the eIDAS Regulation (EU 910/2014).
PRICES, VAT, AND PAYMENT
Prices on the Website are generally displayed excluding VAT unless stated otherwise; checkout shows the total amount including VAT and delivery charges.
VAT treatment: We are based in Bulgaria and VAT-registered under BG202545930 and additionally VAT-registered in Austria, Belgium, France, Germany, and the Netherlands. We charge local VAT in those countries where required. For intra-EU B2B sales with a valid VAT number, the reverse charge mechanism may apply. If a VAT number cannot be validated, VAT will be charged at the applicable local rate.
Payment methods are shown at checkout. Payment is due immediately unless otherwise agreed in writing (for B2B customers). Late payments (B2B) accrue 1.5% monthly interest, plus reasonable administrative and collection costs; we may suspend further deliveries while any balance is overdue.
SHIPPING, DELIVERY, AND RISK TRANSFER
Orders of €250 or more (excluding VAT) are delivered free of charge unless otherwise agreed. Orders below €250 are subject to a €10 delivery/administration fee. Delivery times are indicative; if there is a material delay, we will notify you and offer options (wait, substitute, cancel/refund).
Risk transfer: For consumers, risk passes only when the goods are physically received by you (or your designated person). For business customers, risk passes upon handover to the carrier, unless otherwise agreed. If delivery cannot be completed for reasons attributable to you, goods may be stored at your expense and risk; re-delivery charges may apply.
RIGHT OF WITHDRAWAL (CONSUMERS ONLY)
Consumers have the right to withdraw from a purchase within 14 days of receipt, without giving any reason. To withdraw, email [email protected] or use our contact form; you may (but do not have to) use the EU model withdrawal form. Please return the goods within 14 days of notifying us; you are responsible for return shipping costs unless otherwise stated.
Refunds: We refund the full amount paid (including the standard outbound delivery cost) within 14 days after we receive the returned goods or proof of return—whichever is earlier. Refunds are made to the original payment method, unless you explicitly choose to receive the amount as store credit for future orders.
Exclusions: custom or clearly personalized goods; sealed goods not suitable for return for health or hygiene reasons once unsealed; or goods that after delivery are inseparably mixed with other items.
INSPECTION, RETURNS, AND COMPLAINTS
Please inspect your order immediately upon receipt. Notify us of transport damage or missing goods without undue delay (preferably within 48 hours). Notify us of defective or non-conforming products at any time during the applicable warranty period. For approved returns, we will provide return instructions; items must be returned in their original or equivalent protective packaging. For B2B customers, returns require prior written approval; handling or restocking fees may apply unless due to our error. Send complaints to [email protected] ; we reply within 7 business days.
WARRANTY
Consumers (statutory legal guarantee): You benefit from the EU legal guarantee of conformity for 2 years from delivery, free of charge.
Commercial warranty (LED lighting): Products may include a 2-, 3-, or 5-year manufacturer/commercial warranty as stated on the product page or datasheet. Issues can be reported at any time during the product’s applicable warranty period. Warranty terms may specify operating conditions (e.g., installation standards, IP ratings, thermal management, voltage quality) and expected performance (e.g., lumen maintenance, failure rates).
B2B warranty: Unless otherwise agreed in writing, the B2B warranty equals the commercial warranty term (2/3/5 years) and covers defects in materials or workmanship. Remedies are, at our discretion, repair, replacement, or credit of the net price.
Exclusions: improper installation, misuse, abnormal operating conditions, voltage spikes, non-compliant IP or thermal environments, unauthorized repairs or modifications, or normal wear.
LIMITATION OF LIABILITY
Nothing in these Terms limits or excludes liability for death, personal injury, or fraud, or any other liability that cannot be limited or excluded under applicable law. We remain fully liable to consumers where required under consumer protection and product-liability laws. For B2B customers and to the maximum extent permitted by law, we are not liable for indirect or consequential loss (including loss of profits or data). Our total liability shall not exceed the value of the goods supplied in the specific order that gave rise to the claim.
INSOLVENCY AND NON-PAYMENT
If you become insolvent, enter bankruptcy, or suspend payments, we may terminate or suspend the contract immediately and invoice any delivered goods or services.
TERMINATION FOR BREACH
We may suspend or terminate an order or account if you materially breach these Terms (e.g., non-payment, abuse, fraud) without prior notice and without prejudice to damages owed.
INTELLECTUAL PROPERTY
All Website content—including text, images, product data, and design—is protected by copyright and trademark law. No part may be reproduced, distributed, or used without our prior written consent.
APPLICABLE LAW AND DISPUTE RESOLUTION
These Terms are governed by Bulgarian law, as the country of establishment of Dutchblue.com Ltd. Consumers also enjoy the mandatory protections of their home country’s consumer law and may bring claims in their local courts or in the courts of Varna, Bulgaria, as allowed under EU jurisdiction rules. For B2B customers, exclusive jurisdiction lies with the competent courts in Varna, Bulgaria, subject to any overriding EU regulations. Consumers may also use the European Online Dispute Resolution (ODR) platform: https://consumer-redress.ec.europa.eu/index_en.
AMENDMENTS
We may update these Terms at any time. The version published on the Website at the time of your order applies to that transaction.
